About these Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and CYTY Inc., doing business as FundlyHub ("CYTY," "FundlyHub," "we," "us," or "our"), governing your access to and use of the FundlyHub website, applications, and related services (collectively, the "Services").

FundlyHub is a brand and DBA of CYTY Inc. CYTY Inc. is the legal entity responsible for the operation of the Services and the enforcement of these Terms.

IMPORTANT: PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICES.

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

The Services are available in English, Russian, Ukrainian and Spanish. This document is currently authoritative in English only. Official translations are pending legal review, and the English version is the only legally binding version.

2. Acceptance of terms

By creating an account, accessing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Services or by email. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.

3. Eligibility

To use the Services, you must:

  • Be at least 18 years of age, or the age of legal majority in your jurisdiction
  • Have the legal capacity to enter into a binding contract
  • Not be prohibited from using the Services under applicable law
  • Not have been previously suspended or removed from the Services
  • Provide accurate, current, and complete information during registration

The Services are not directed to individuals under the age of 13. We do not knowingly collect personal information from children under 13. If you are under 13, you may not use the Services.

4. Account registration and security

4.1 Account creation

To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

You can sign up with an email address and password, or with a Google or Apple account. Disposable email addresses are not accepted.

4.2 Account security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

4.3 Account verification

We may require identity verification for certain activities, including but not limited to creating fundraisers and receiving payouts. You agree to cooperate with any verification processes and provide requested documentation.

Currently, this means:

  • To publish a Campaign, you need a profile photo, a first and last name, a verified email address and a phone number on file.
  • To comment, post campaign updates, report a Campaign or register an organization, you need a verified email address.
  • To withdraw funds, you must complete identity and bank account verification with Stripe (section 7.4).
  • To publish fundraisers as an organization, the organization must be verified (section 6.4).

A green tick next to an Organizer's name means that the Organizer confirmed an email address. It is not an identity check.

4.4 API keys

You can create API keys in your Profile Settings so that scripts, command-line tools and AI agents can access your account through the FundlyHub API. An API key acts as you, with all of your account's permissions. A key is shown only once, when you create it. Keep it as safe as your password, and revoke any key you no longer use. Revoking a key takes effect immediately.

You are responsible for all activity carried out with your API keys, in the same way as for your account (section 4.2). Use the API as described in the developer documentation at docs.fundlyhub.org and stay within its rate limits. Requests over the limits are refused. These Terms apply to use of the API in the same way as to the website and apps.

5. Description of services

FundlyHub provides an online platform that enables individuals and organizations ("Organizers") to create fundraising campaigns ("Campaigns" or "Fundraisers") and receive donations from supporters ("Donors"). The Services include:

  • Campaign creation and management tools, for quick fundraisers and for projects with milestones
  • Payment processing and donation handling
  • Communication tools between Organizers and Donors, such as campaign updates, comments and following
  • Analytics and reporting features
  • Payout processing for verified Organizers
  • Organization profiles, with team roles and fundraisers owned by the organization
  • Creator support tiers, sold as recurring subscriptions
  • Referral links and the FundlyHub Ambassador program
  • AI tools for writing, images and translation
  • Donor tools: receipts, donation history and annual summaries
  • Achievements, which are earned by giving, raising and sharing and are never bought
  • An API for access by scripts and other tools

FundlyHub is a platform provider and does not itself solicit donations, guarantee the success of any Campaign, or guarantee the use of donated funds.

6. Fundraiser and campaign rules

6.1 Organizer responsibilities

As an Organizer, you agree to:

  • Provide truthful, accurate, and complete information about your Campaign
  • Use donated funds solely for the stated purpose of the Campaign
  • Provide updates to Donors regarding the use of funds and Campaign progress
  • Comply with all applicable laws, including tax and charitable solicitation laws
  • Respond promptly to inquiries from FundlyHub regarding your Campaign
  • Not misrepresent your identity, affiliation, or the purpose of your Campaign

You can edit a published Campaign at any time. You can unpublish or delete a Campaign yourself only while it has raised $0. Once a Campaign has received a donation, those two options are removed.

6.2 Prohibited campaigns

The following types of Campaigns are prohibited:

  • Campaigns that violate any applicable law or regulation
  • Fraudulent, deceptive, or misleading Campaigns
  • Campaigns promoting illegal activities, violence, or harm
  • Campaigns that infringe upon intellectual property rights
  • Campaigns involving prohibited goods or services (drugs, weapons, etc.)
  • Campaigns promoting hate speech, discrimination, or harassment
  • Campaigns for personal financial gain unrelated to a legitimate cause
  • Ponzi schemes, pyramid schemes, or other fraudulent financial schemes
  • Campaigns that violate the terms of our payment processors

6.3 Campaign review and removal

When an Organizer publishes a Campaign, it goes through these checks before it can go live:

  • Identity check. The Organizer needs a profile photo, a first and last name, a verified email address and a phone number on file. This check does not verify identity documents: Stripe verifies identity before any payout (section 7.4).
  • Content review. The Campaign is scanned automatically for enough detail in the story, a real title, a summary and a category, a realistic goal, original content and a clear plan for the funds.
  • AI analysis. If the Campaign passes the first two checks, an AI reads it for story quality, verifiable details, consistency and category fit.

A Campaign that passes is published right away, without review by a person. A Campaign that the checks flag is either held for review by the FundlyHub team, usually within 24 hours, or returned to the Organizer with a list of items to fix. Campaigns created by FundlyHub Ambassadors go through the same checks, and the results are recorded. When FundlyHub has that option switched on, such a Campaign is not held for manual review afterwards.

After a Campaign is live, any signed-in user with a verified email address can report it from the Campaign page. Reports are confidential: the Organizer does not see who sent them. Our team reviews every report.

We reserve the right to review, modify, suspend, or remove any Campaign at our sole discretion, including for suspected fraud, policy violations, or legal compliance. Organizers will be notified of any such action when feasible. A Campaign that is paused or removed cannot receive donations.

These checks reduce risk. They are not a guarantee that a Campaign or an Organizer is legitimate (see sections 7.1 and 11). The Safety page describes them in more detail.

6.4 Organizations

A nonprofit or a company can register an organization on FundlyHub to run fundraisers under its own name. Registration asks for the organization's legal name and address. An EIN is optional at registration and is required to receive payouts. The person who registers the organization becomes its Organization Owner.

An organization must be verified before it can publish fundraisers or set up payouts. A U.S. organization whose EIN and legal name match the IRS list of organizations eligible to receive tax-deductible contributions (Publication 78) may be verified automatically when it registers. Otherwise, verification requires at least one approved document: an EIN letter or a 501(c)(3) determination letter. We may also screen an organization's name against U.S. sanctions lists. We may approve, reject or suspend an organization, and may review its verification again later. While an organization is suspended, it is hidden from public view, its active Campaigns are paused and it cannot receive new donations.

A verified organization shows a Verified Organization badge on its public profile. The badge means that the organization passed this verification. By itself, it does not mean that gifts to the organization are tax-deductible (section 7.7).

Members of an organization hold one of three roles:

  • Organization Owner: everything an Admin can do, plus connecting Stripe payouts, adding child companies and promoting members to Owner.
  • Organization Admin: manages members, settings and branding, documents, DBAs, locations and updates, and can view donations, donors and payouts.
  • Organization Viewer: read-only access to the overview, fundraisers, donations, donors and payout status.

A member must already have a FundlyHub account, and an organization must always keep at least one Owner. Donations to an organization's fundraisers are paid out to the organization's own Stripe account, which an Organization Owner connects after the organization is verified.

6.5 Referral links and the Ambassador program

When you share a fundraiser while signed in, FundlyHub gives you a personal referral link of the form fundlyhub.org/r/your-code. Visits and donations that come through the link are credited to you. A donation is credited when it is made within 30 days of someone opening your link. If the Donor opened links from several people, the most recent one is credited. Clicks from bots and link previews are counted but are never credited with a donation, and a donation you make yourself through your own link is not counted in your totals.

Credit for a referral is a record shown in the product. It does not change what a Donor pays or what a Campaign receives.

FundlyHub Ambassadors are users who hold the Ambassador role. You can apply for it, and our team reviews every application, or you can be invited by FundlyHub. An invitation is valid for 14 days, works once, and works only for the email address it was sent to.

Ambassadors have an ambassador portal that shows the results of their own links, can appear in the FundlyHub Ambassadors section of the site with the amount their links have raised, and can receive requests from Organizers to share a Campaign. In the portal, donor names appear only for Donors who did not give anonymously, and donor email addresses are never shown.

FundlyHub does not promise Ambassadors any cash compensation. Ambassadors receive social recognition, such as public credit for the gifts their links bring in, achievements, and other rewards that FundlyHub determines internally at its discretion.

7. Donations and payments

7.1 Donation terms

By making a donation through the Services, you acknowledge and agree that:

  • Donations are made at your own risk
  • FundlyHub does not guarantee the legitimacy of any Campaign
  • Donations are generally non-refundable except as required by law or our policies
  • You are responsible for verifying the legitimacy of Campaigns before donating
  • Tax deductibility depends on the recipient's status and applicable tax laws

You can donate without creating an account. You can choose to give anonymously: your name is then hidden from the public donor list and from the Organizer. When you give us an email address at checkout, we send your receipt to it.

7.2 Payment processing

Payment processing is provided by Stripe and Stripe Connect. By using the Services, you agree to Stripe's terms of service and privacy policy. FundlyHub does not store full payment card numbers.

Card details go directly to Stripe, a PCI DSS Level 1 service provider. Of your card details, FundlyHub receives only the card brand and the last four digits. The Trust Center describes how accounts and payments are protected.

7.3 Fees and tips

FundlyHub currently charges a 0% platform fee. The total you pay at checkout includes an optional tip to FundlyHub: the checkout suggests 15%, and you can change the tip or set it to none before you pay. The rest is your donation. The card processing fee (2.9% + $0.30, calculated on the total you pay) comes out of the donation, and the Campaign receives what remains. For example:

With no tip, $48.25 of the same $50.00 reaches the Campaign. The checkout lists these amounts under "Where your money goes" before you pay.

A tip is a payment to FundlyHub, not a donation to a Campaign. You can also tip FundlyHub directly from FundlyHub's own profile page, once or, where offered, monthly. To stop a monthly tip, reply to your receipt email or write to us with your receipt ID, and we will stop future charges.

FundlyHub may charge fees for the use of certain Services, including platform fees and payment processing fees. We reserve the right to modify fees with reasonable notice.

7.4 Payouts

Organizers may request payouts of donated funds subject to identity verification, compliance checks, and our payout policies. We reserve the right to delay, hold, or refuse payouts in cases of suspected fraud, policy violations, or pending disputes.

Payouts run through Stripe Connect. To receive payouts, an Organizer connects a Stripe account from the Funds tab of their profile. Stripe verifies the Organizer's identity and bank account, and that verification is required before any funds can be withdrawn. Stripe collects and stores the Organizer's banking details.

A Campaign can be published and can receive donations before the Organizer has finished Stripe verification. Donations made before then are held in FundlyHub's Stripe account and are not released to the Organizer. Once verification is complete and a payment has settled, the held amount is transferred to the Organizer's Stripe balance automatically. FundlyHub does not release held funds to an Organizer who has not completed verification.

If held donations are never transferred to the Organizer's Stripe balance, FundlyHub verifies the Donors who made them and offers each of those Donors the choice to have the donation reallocated to another Campaign or to receive a refund.

Card payments take time to settle, typically 2 to 7 days, before the money becomes available. From the available balance, an Organizer can transfer funds to their bank on demand (minimum $1.00) or set an automatic daily, weekly or monthly payout schedule. Transfers typically arrive within 2 to 7 business days. Payouts are made in U.S. dollars and currently work primarily with U.S. bank accounts.

7.5 Refunds and disputes

Refund requests are handled on a case-by-case basis. Donors may request refunds in cases of fraud, Campaign removal, or other circumstances as determined by FundlyHub. Refund availability may depend on whether funds have been disbursed to the Organizer.

No refund is issued automatically, and FundlyHub does not guarantee that a refund will be granted. A refund that we approve is returned through Stripe to the original payment method. To request a refund, report the Campaign from its page or email tech@cyty.io.

If you dispute a charge with your card issuer, the dispute is handled through Stripe, and FundlyHub may respond to it with information about the payment.

FundlyHub support can help with refund requests for tips and for subscription payments. These requests are handled case by case, and a refund is not guaranteed.

7.6 Creator tiers and subscriptions

Creators can offer support tiers on their profile. Each tier is a recurring subscription billed through Stripe, monthly or, where the creator offers it, annually. You must be signed in to subscribe.

A subscription renews automatically and charges your payment method each billing period until you cancel. You pay the tier price plus any applicable tax, which Stripe calculates and shows at checkout.

You can cancel at any time from My subscriptions. Cancellation takes effect at the end of the current billing period, and you keep access until then. You can resume the subscription before the period ends. If a payment fails, we ask you to update your card.

A creator can archive a tier. Existing subscribers keep their subscription, and new subscribers cannot sign up. Perks are described and provided by the creator, not by FundlyHub. Subscription revenue is paid out through the same payout setup as donations (section 7.4).

7.7 Taxes

Most Campaigns on FundlyHub are personal fundraisers. Gifts to personal fundraisers go to individuals and are not tax-deductible. Gifts to eligible charitable organizations may be tax-deductible, subject to applicable tax rules. A tip to FundlyHub is not a donation to a cause and is not tax-deductible: CYTY Inc. is a company, not a charity.

FundlyHub does not give tax advice. Receipts and annual summaries are records for your files, and an annual summary is not a tax receipt. Consult a tax professional about your own situation.

Organizers remain responsible for the tax and charitable solicitation laws that apply to them (sections 6.1 and 17).

8. User conduct and prohibited activities

You agree not to:

  • Violate any applicable law, regulation, or third-party rights
  • Use the Services for any fraudulent, deceptive, or illegal purpose
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Services or servers
  • Attempt to gain unauthorized access to any part of the Services
  • Use automated systems (bots, scrapers) without permission
  • Transmit viruses, malware, or other harmful code
  • Harass, threaten, or abuse other users
  • Collect user information without consent
  • Circumvent any security measures or access controls
  • Use the Services to launder money or finance illegal activities

The FundlyHub API, used as described in section 4.4, is a permitted way to access the Services with automated tools.

9. Intellectual property

9.1 FundlyHub content

The Services, including all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio, video, software, and code), are owned by CYTY Inc. or its licensors and are protected by copyright, trademark, and other intellectual property laws.

9.2 User content

You retain ownership of content you submit to the Services ("User Content"). By submitting User Content, you grant FundlyHub a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, display, distribute, and perform such content in connection with the Services.

You represent and warrant that you have all necessary rights to grant this license and that your User Content does not infringe any third-party rights.

9.3 DMCA and copyright infringement

We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA). If you believe your copyrighted work has been infringed, please contact us at tech@cyty.io with the required DMCA notice information.

9.4 AI tools, imported content and translations

The Services include tools that create or change content for you: text suggestions for a Campaign's title, summary and story, an AI assistant in the campaign builder, AI-generated cover images, import of an existing campaign from a link, and automatic translation of Campaign text and updates between English, Russian, Ukrainian and Spanish.

Output from these tools can be inaccurate or incomplete. Review and edit it before you publish. Text and images that you publish with the help of these tools, or import from another site, are your User Content under section 9.2, and you are responsible for them in the same way as for content you wrote yourself.

Translations are produced automatically and may not be exact. A translated update carries a Show original link to the text as it was written.

10. Privacy

Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

TO THE FULLEST EXTENT PERMITTED BY LAW, CYTY INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Services will be uninterrupted, secure, or error-free
  • Any Campaign or Organizer is legitimate or trustworthy
  • Donated funds will be used as represented by Organizers
  • The Services will meet your specific requirements
  • Any errors or defects will be corrected

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CYTY INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services
  • Unauthorized access, use, or alteration of your content or transmissions
  • The actions or inactions of any Organizer or Donor
  • Fraud, misrepresentation, or misconduct by any user

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO FUNDLYHUB IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify, defend, and hold harmless CYTY Inc. and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Services
  • Your User Content
  • Your violation of any third-party rights
  • Your violation of any applicable law or regulation
  • Any Campaign you create or donations you receive

14. Dispute resolution

14.1 Informal resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at tech@cyty.io to attempt to resolve the dispute informally. We will attempt to resolve the dispute within sixty (60) days.

14.2 Binding arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules.

Arbitration shall take place in New Castle County, Delaware, or another mutually agreed location. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

14.3 Class action waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

If this class action waiver is found to be unenforceable, the entire arbitration provision shall be null and void.

14.4 Exceptions

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

14.5 Opt-out

You may opt out of the arbitration and class action waiver provisions by sending written notice to tech@cyty.io within thirty (30) days of first accepting these Terms. Your notice must include your name, address, email, and a clear statement that you wish to opt out.

15. Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

For any disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware.

16. California consumer rights

If you are a California resident, you may have additional rights under the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA). Please refer to our Privacy Policy for details on your California privacy rights.

Under California Civil Code Section 1789.3, California users are entitled to the following consumer rights notice: The Services are provided by CYTY Inc. If you have a question or complaint regarding the Services, please contact us at tech@cyty.io. California residents may reach the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by mail at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

17. Additional state compliance

We comply with applicable state consumer protection laws. Residents of states with specific consumer protection requirements (including but not limited to Virginia, Colorado, Connecticut, and Utah) may have additional rights as described in our Privacy Policy or as required by applicable law.

Charitable solicitation laws vary by state. Organizers are responsible for compliance with charitable solicitation registration requirements in states where they solicit donations.

18. Termination

18.1 Termination by you

You may terminate your account at any time by contacting us or by using the account features described below. Termination does not relieve you of obligations incurred prior to termination.

Deactivation. You can deactivate your account in your Profile Settings. Deactivation hides your profile from other users, pauses your active Campaigns and signs you out. You can reactivate the account at any time by signing back in. If you have active fundraisers that have raised money, deactivation is blocked until those are resolved.

Deletion. You can ask us to delete your account, using the account deletion feature where it is offered or by contacting us. Deletion is scheduled for 30 days after your request, and you can cancel the request during that time. When you make the request, your open personal Campaigns are closed and stop taking donations. Before deletion is completed, your subscriptions and recurring tips are cancelled, and any money not yet paid out to you is still paid to your verified payout account: deletion is completed only once nothing is owed to you. We keep certain records in anonymized form where we need them for tax, audit or legal reasons, such as donation and payout records, and delete the rest of your personal data. If you are the only owner of an organization, add another owner before you request deletion.

18.2 Termination by us

We may suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice, including for violations of these Terms, suspected fraud, or legal compliance.

18.3 Effect of termination

Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.

19. General provisions

19.1 Entire agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and CYTY Inc. regarding the Services.

19.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

19.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

19.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

19.5 Force majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, pandemics, or internet disruptions.
